Terms of Service

Note: These terms refer to "Wabi Pty Ltd" as the operating entity. The corporate entity name may change. Any successor entity will honour these terms in full.

1. Agreement to Terms

These Terms of Service ("Terms") are a legal agreement between you ("you", "your", or "Customer") and Wabi Pty Ltd (ABN pending), an Australian company ("Wabi", "we", "us", or "our"). By creating an account or using any part of the Wabi platform, you agree to these Terms. If you don't agree, don't use Wabi.

If you're accepting these Terms on behalf of a business, you represent that you have the authority to bind that business.

2. What Wabi Is

Wabi is a modular software-as-a-service (SaaS) platform designed for businesses that serve customers — restaurants, salons, gyms, clinics, retail stores, hotels, and more. You choose the modules you need:

  • POS — Point of sale and payments
  • Booking — Reservations and appointment scheduling
  • Team — Staff management, rosters, and time tracking
  • CRM — Customer profiles and loyalty
  • Orders — Online ordering and delivery
  • Inventory — Stock management and tracking
  • Intelligence — AI-powered business insights
  • Spaces — Floor plans and table management

We may add, modify, or retire modules over time. We'll give you reasonable notice of material changes.

3. Account Registration

To use Wabi, you need to create an account. You agree to:

  • Provide accurate, current information (business name, your name, email, phone, business type, and address)
  • Keep your credentials secure — you're responsible for all activity under your account
  • Notify us promptly if you suspect unauthorised access

You must be at least 18 years old and legally able to enter into contracts in your jurisdiction.

4. Free Trial

We offer a 14-day free trial. No credit card required. During the trial you get full access to the platform so you can evaluate whether Wabi is right for your business.

At the end of 14 days, you'll need to choose a paid plan to continue using Wabi. If you don't, your account will be suspended (not deleted — see Section 11 on data retention).

We reserve the right to modify or discontinue the free trial at any time.

5. Subscription, Billing & Cancellation

Modular Pricing

You only pay for the modules you use. Pricing is published on our website and may change with 30 days' notice.

No Lock-in Contracts

All subscriptions are month-to-month. There are no long-term commitments.

Upgrades & Downgrades

You can add or remove modules at any time. Changes take effect immediately. Charges are prorated — you'll receive credit for unused time on removed modules and be charged proportionally for new ones.

Payment Processing

Subscription payments are processed securely. Transaction processing through Wabi POS is handled by Stripe at a rate of 2.6% + $0.10 per transaction. Stripe's terms apply to payment processing.

Cancellation

You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. We don't offer refunds for partial months, but you'll retain access until the period ends.

6. Acceptable Use

You agree not to:

  • Use Wabi for any unlawful purpose or to violate any laws in your jurisdiction
  • Attempt to gain unauthorised access to our systems or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of the platform
  • Use the platform to store or transmit malicious code
  • Resell, sublicense, or redistribute access to the platform without our written consent
  • Use Wabi Intelligence or any AI features to generate misleading or fraudulent content
  • Exceed reasonable usage limits or abuse API access

We may suspend or terminate accounts that violate these terms.

7. Your Data — You Own It

This is simple: your data belongs to you. Always.

All business data, customer records, transaction history, staff information, and any other data you input into Wabi remains your property. We do not claim ownership of your data.

You grant us a limited licence to process your data solely to provide and improve the Wabi service. This licence ends when you delete your data or close your account.

You can export your data at any time. If you close your account, we'll make your data available for export for 30 days before permanent deletion (see our Privacy Policy for details).

8. Wabi Intelligence (AI Features)

Wabi Intelligence uses large language models to analyse your business data and surface insights — trends, patterns, and recommendations.

Important things to know:

  • Intelligence analyses your data to provide qualitative insights. It does not generate financial figures or numbers — all numerical data comes directly from your records.
  • Your data is not used to train AI models.
  • AI-generated insights are informational only, not financial or legal advice.
  • See our Privacy Policy for details on how AI features process your data.

9. Intellectual Property

Wabi and its components — the software, design, branding, documentation, and all related intellectual property — belong to Wabi Pty Ltd. These Terms don't transfer any ownership to you.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the platform for your internal business purposes during your active subscription.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Wabi is provided "as is" without warranties of any kind, express or implied
  • We do not guarantee uninterrupted or error-free service
  • Our total liability to you for any claims arising from these Terms or your use of Wabi is limited to the amount you paid us in the 12 months preceding the claim
  • We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including the Australian Consumer Law.

11. Termination

By You

You can close your account at any time. Your subscription continues until the end of the current billing period.

By Us

We may suspend or terminate your account if you breach these Terms, fail to pay, or if we're required to do so by law. We'll provide reasonable notice where possible.

After Termination

Upon termination, your right to use the platform ends. We'll retain your data for 30 days to allow export, after which it will be permanently deleted. Provisions that should survive termination (liability, IP, disputes) will survive.

12. Dispute Resolution

These Terms are governed by the laws of the State of Victoria, Australia. You agree to submit to the exclusive jurisdiction of the courts of Victoria.

Before taking legal action, you agree to try to resolve any dispute by contacting us at legal@wabify.com. We'll work in good faith to resolve things within 30 days.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we'll give you at least 30 days' notice via email or an in-app notification before the changes take effect.

Continued use of Wabi after changes take effect constitutes acceptance. If you disagree with the changes, you may close your account.

14. General

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wabi.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
  • Waiver: Failure to enforce any provision is not a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms without our consent. We may assign ours in connection with a merger, acquisition, or sale of assets.
